The Registry LLC Terms and Conditions of Use

1. GENERAL TERMS, ACCEPTANCE, AND APPLICABILITY

1.1. These Terms and Conditions of Use (hereinafter referred to as the “Terms,” “Agreement,” or “Terms and Conditions”) govern access to, participation in, and use of the website, advertising programs, marketing services, communications, and related services provided by The Registry LLC and/or National Equipment Registry (collectively referred to throughout this Agreement as the “Company,” “Registry,” “we,” “us,” or “our”).

1.2. The term “Website” includes all websites, webpages, digital listings, advertising interfaces, and associated electronic services operated or maintained by the Company. The term “Services” includes advertising preparation, marketing, listing publication, promotional distribution, customer communication, and related activities undertaken in connection with the marketing of privately owned vehicles, recreational vehicles, commercial trucks, machinery, equipment, trailers, vessels, and other property.

1.3. By accessing the Website, purchasing Services, submitting information, authorizing an advertisement, communicating with the Company regarding Services, or otherwise participating in the Company's advertising programs, you acknowledge that you have reviewed and agree to be bound by these Terms and Conditions to the extent enforceable under applicable law.

1.4. If you do not agree to these Terms and Conditions, you must discontinue use of the Website and refrain from purchasing or utilizing the Services.

1.5. The Company reserves all rights not expressly granted under this Agreement. Nothing contained herein shall be construed as creating obligations beyond those expressly undertaken by the Company in connection with the purchased advertising or marketing services.

2. DEFINITIONS AND INTERPRETATION

2.1. “Customer” or “Seller” refers to any individual, business, organization, or other person who purchases, requests, authorizes, or receives advertising services from the Company.

2.2. “Listed Item” or “Unit” refers to any vehicle, equipment, machinery, recreational vehicle, trailer, vessel, or other personal property advertised through the Company's Services.

2.6. Section headings are provided for organizational convenience and shall not independently alter the interpretation or application of any provision contained herein.

3. PRIVACY POLICY AND INFORMATION PRACTICES

3.1. The Company respects the privacy of its customers and recognizes the importance of protecting information provided in connection with the Services.

3.2. We will not sell, rent, or disclose customer contact information or other information associated with the customer relationship to unrelated third parties for their independent marketing purposes.

3.3. Customer information may be collected, maintained, processed, and utilized as reasonably necessary to provide the Services, prepare advertisements, communicate with customers, administer accounts, process transactions, respond to inquiries, and facilitate potential sales.

3.4. Notwithstanding the foregoing, customers acknowledge and authorize the Company to disclose relevant contact information and listing information to prospective purchasers or interested parties when reasonably necessary to facilitate communications concerning a Listed Item.

3.5. The Company may undertake reasonable efforts to pre-screen prospective buyers. Such efforts do not constitute verification, certification, or a guarantee of the identity, financial capacity, intentions, credibility, or representations of any prospective purchaser.

3.6. The Company shall not be responsible for fraudulent representations, deceptive conduct, inaccurate information, unauthorized communications, or other actions undertaken by prospective purchasers or unrelated third parties, except to the extent liability cannot lawfully be excluded.

3.7. Customers acknowledge that information submitted for advertising purposes may become publicly accessible through advertisements, search engines, social media platforms, third-party websites, and other distribution channels.

3.8. Although reasonable security measures may be implemented, no electronic transmission, online database, or internet-based communication system can be guaranteed to remain completely secure.

3.9. The Company may retain records, correspondence, transaction information, advertisement materials, and related documentation as reasonably necessary for business administration, legal compliance, dispute resolution, and recordkeeping, subject to applicable law.

4. ELECTRONIC COMMUNICATIONS AND CUSTOMER CONTACT INFORMATION

4.1. By providing contact information and using the Services, customers authorize the Company to communicate regarding their advertising, listings, account administration, inquiries, and related service matters through email, telephone, text message, and other appropriate communication methods, subject to applicable consent and communication laws.

4.2. Standard carrier messaging and data charges may apply.

4.3. Customers are responsible for maintaining accurate, current, and accessible contact information throughout the advertising period.

4.4. The Company shall not be responsible for communication delays caused by incorrect telephone numbers, inaccessible email accounts, spam filtering, voicemail restrictions, carrier issues, or failure to respond to communications.

4.5. Timely customer responses are essential to the advertising process. Delays in providing requested information, reviewing advertisements, or responding to prospective buyers may affect marketing effectiveness and potential transaction opportunities.

4.6. Communications transmitted electronically may be maintained as business records and used to document customer instructions, requested modifications, service activities, and dispute resolution.

5. SCOPE AND NATURE OF ADVERTISING SERVICES

5.1. Registry Motors LLC provides advertising and marketing services for privately owned property. The Company does not purchase or sell Listed Items on behalf of customers.

5.2. The Company is not acting as a licensed vehicle dealer, broker, lender, appraiser, fiduciary, employee, or legal representative of the customer merely by providing advertising services.

5.3. The Company does not take ownership, custody, possession, or control of advertised property.

5.4. All ownership rights, responsibilities, risks, and obligations associated with a Listed Item remain with the owner or other legally authorized party.

5.5. Advertising Services may include the preparation of descriptions, organization of photographs, publication of listings, promotional distribution, communication regarding buyer interest, and other marketing-related activities included within the purchased service arrangement.

5.6. The Company may determine the reasonable methods, sequence, presentation, and distribution of advertising materials, consistent with the Services purchased and applicable platform requirements.

5.7. The customer acknowledges that the purchase of advertising services constitutes the purchase of marketing work and promotional exposure, rather than the purchase of a completed sale, guaranteed purchaser, guaranteed inquiry, or predetermined transaction outcome.

6. ADVERTISING DURATION, DISTRIBUTION, AND PLATFORM LIMITATIONS

6.1. The Company will promote the customer's Listed Item through its advertising network, websites, social media channels, and approved third-party classified or auction platforms as discussed and agreed upon at the time of purchase.

6.2. Marketing efforts will continue until the Listed Item is sold or until Services are otherwise terminated in accordance with these Terms.

6.3. The continuing advertising arrangement does not require uninterrupted placement on every individual advertising platform.

6.4. Specifically, advertisements appearing on eBay Motors, Equipment Trader, Hemmings, and other platforms utilizing fixed listing durations, auction cycles, or expiration periods are subject to the respective platform's applicable time limitations.

6.5. The expiration of an individual auction or classified listing shall not, by itself, establish that the Company's overall advertising Services have expired or been discontinued.

6.6. Third-party advertising providers may independently modify listing durations, publishing requirements, fees, eligibility rules, content standards, account restrictions, or available promotional features.

6.7. The Company cannot guarantee uninterrupted placement, continuous availability, renewal eligibility, identical placement positions, or permanent retention of advertisements on independently operated platforms.

6.8. The Company reserves the right to modify advertising distribution methods, promotional formats, and platform utilization as reasonably necessary to administer Services, accommodate third-party restrictions, or respond to changes in advertising availability.

6.9. The continued availability of an advertisement does not constitute a representation that prospective purchasers will view, inquire about, or purchase the Listed Item.

7. CUSTOMER INFORMATION, ACCURACY, AND ADVERTISEMENT APPROVAL

7.1. Customers are responsible for supplying truthful, complete, accurate, and current information concerning their Listed Items.

7.2. Such information includes, without limitation, vehicle identification numbers, serial numbers, model years, manufacturer information, specifications, mileage, operating hours, mechanical condition, ownership information, equipment configurations, modifications, photographs, and any material defects or limitations.

7.3. The Company may prepare advertising materials using information supplied by the customer and available product information. The Company is not independently obligated to inspect, authenticate, certify, or verify every representation appearing in an advertisement.

7.4. Customers must review advertisements promptly upon receipt and notify the Company of any necessary corrections within twenty-four (24) hours.

7.5. If no correction request is received within that period, the advertisement shall be deemed reviewed and approved by the customer for purposes of the Company's advertising administration.

7.6. Customers remain responsible for the accuracy of their Listed Item information regardless of whether the advertisement has been expressly approved or deemed approved.

7.7. The Company shall not be responsible for errors, omissions, discrepancies, or misrepresentations resulting from inaccurate, incomplete, outdated, or misleading information supplied by the customer, except as otherwise required by law.

7.8. The customer agrees to notify the Company promptly of material changes to the Listed Item, including changes in condition, availability, ownership, asking price, or other information relevant to prospective purchasers.

8. BUYER INQUIRIES, OFFERS, AND TRANSACTION RESPONSIBILITIES

8.1. The Company will monitor advertising activity and notify customers of legitimate offers received at or above seventy-five percent (75%) of the advertised asking price.

8.2. Notifications may be delivered by telephone, email, or text message.

8.3. The Company retains reasonable discretion in determining whether a communication constitutes a legitimate offer for purposes of its notification procedures.

8.4. The existence of listing views, favorites, watchers, clicks, impressions, or other engagement indicators does not necessarily establish the existence of a qualified buyer or purchase offer.

8.5. The Company does not guarantee the number, quality, frequency, or timing of inquiries or offers.

8.6. All decisions regarding acceptance, rejection, negotiation, payment arrangements, inspection, transportation, title transfer, and completion of a sale remain the responsibility of the customer and prospective purchaser.

8.7. The Company does not guarantee payment, financing, transportation, inspection results, buyer performance, or completion of any proposed transaction.

8.8. Customers are responsible for exercising appropriate care when communicating with prospective purchasers and independently evaluating transaction arrangements.

9. NATIONAL EQUIPMENT REGISTRY BRAND AND BILLING ARRANGEMENTS

9.1. National Equipment Registry (“NER”) is a brand operated by Registry Motors LLC.

9.2. Services marketed or purchased through National Equipment Registry are processed through Registry Motors LLC.

9.3. Customer receipts, payment confirmations, and bank or credit card statements may identify Registry Motors LLC as the merchant of record.

9.4. By purchasing Services through National Equipment Registry, customers acknowledge and accept this billing arrangement.

9.5. The appearance of Registry Motors LLC on a payment statement shall not, by itself, constitute an unauthorized transaction or indicate that Services were purchased from an unrelated provider.

10. PAYMENT TERMS AND NON-REFUNDABLE SERVICE FEES

10.1. The Company accepts major credit cards and other approved payment methods for the purchase of advertising and marketing Services.

10.2. Payment is required in accordance with the applicable service arrangement and is generally collected in advance of the commencement of advertising activities.

10.3. Customers acknowledge that they are purchasing advertising and marketing services only and are not purchasing a guaranteed sale or other guaranteed transaction result.

10.4. Once marketing Services begin, all fees are non-refundable, except where a refund is required by applicable law or expressly authorized by the Company.

10.5. Marketing Services may begin through administrative processing, customer account preparation, advertisement drafting, photograph organization, listing development, platform submissions, advertising placement, or other work associated with fulfilling the purchased Services.

10.6. The customer acknowledges that service-related labor, administrative resources, third-party advertising costs, and promotional expenditures may be incurred immediately following Marketing Commencement.

10.7. The Company's strict No Refund Policy reflects the nature of the Services provided, including the expenditure of labor and advertising resources that cannot necessarily be recovered once performed or committed.

10.8. A lack of buyer inquiries, offers, completed transactions, or a sale within an anticipated period shall not independently create an entitlement to a refund.

10.9. Customer dissatisfaction with market response, pricing conditions, or the ultimate selling timeframe does not alter the nature of the purchased Services.

10.10. Any additional advertising packages, promotional enhancements, or separately requested Services may require additional payment.

10.11. Payment for additional Services shall be governed by the applicable purchase terms and these Terms and Conditions.

10.12. No employee, representative, or third-party platform is authorized to modify the Company's refund obligations except through an express authorization issued by the Company.

10.13. Nothing in this section is intended to waive statutory rights, remedies, or protections that cannot lawfully be excluded.

11. CHARGEBACKS, PAYMENT DISPUTES, AND SERVICE CONCERNS

11.1. The Company is committed to addressing legitimate customer concerns and encourages customers to contact Customer Support before initiating a payment dispute or chargeback.

11.2. Service-related questions, complaints, or requests for clarification should be directed to customersupport@theregistryllc.com or 833-265-6113 during normal business hours.

11.3. Customers are encouraged to provide sufficient information to identify their account, the disputed transaction, the nature of the concern, and the requested resolution.

11.4. The Company reserves the right to maintain and submit relevant records in connection with a payment dispute, including customer authorizations, transaction records, service agreements, correspondence, advertising drafts, published listings, promotional records, and documentation of Services performed.

11.5. Where permitted by applicable law and payment-network rules, failure to comply with contractual dispute-resolution obligations may be considered in determining whether a breach of this Agreement has occurred.

11.6. The Company reserves the right to contest chargebacks it reasonably believes are unsupported by the circumstances of the transaction.

11.7. The Company may suspend or terminate Services in response to material contractual breaches, subject to applicable law and any existing obligations that cannot lawfully be terminated.

11.8. Nothing in this Agreement prohibits a customer from exercising lawful payment-dispute, chargeback, or consumer-protection rights.

12. NO GUARANTEE OF SALE OR MARKETING PERFORMANCE

12.1. The customer expressly acknowledges that advertising effectiveness depends upon circumstances that may be outside the Company's control.

12.2. Such circumstances include market demand, asking price, geographic location, property condition, seasonal purchasing trends, buyer preferences, financing availability, economic conditions, and competition from comparable listings.

12.3. The Company makes no representation or guarantee that any Listed Item will sell within a particular period or at a particular price.

12.4. Statements regarding potential buyer interest, market activity, expected exposure, or anticipated selling opportunities shall not be interpreted as binding promises of a completed sale.

12.5. Advertising performance may vary substantially between individual Listed Items, geographic markets, and advertising platforms.

12.6. The Company does not guarantee a minimum number of impressions, views, inquiries, offers, watchers, or qualified purchasers unless expressly stated in a separate written service commitment.

13. THIRD-PARTY PLATFORMS AND EXTERNAL SERVICES

13.1. The Company may utilize independently operated advertising websites, online marketplaces, auction services, classified platforms, and social media networks.

13.2. Such platforms operate under their own policies, technical systems, eligibility standards, listing restrictions, and terms of service.

13.3. The Company is not responsible for independently imposed platform changes, outages, account restrictions, content removals, listing expirations, algorithm changes, or other operational decisions beyond its reasonable control.

13.4. Third-party websites may contain information, advertisements, links, or services not controlled by the Company.

13.5. The inclusion of external links does not constitute an endorsement, warranty, or assumption of responsibility for the content, policies, practices, or conduct of those external providers.

13.6. Customers and website visitors access external websites at their own discretion and subject to applicable third-party terms.

14. ARTIFICIAL INTELLIGENCE AND AUTOMATED TECHNOLOGIES

14.1. The Company may utilize artificial intelligence, automated software, and other technology-assisted tools to support advertising development, customer communications, content preparation, administrative operations, and service improvements.

14.2. AI-assisted materials may include descriptions, suggested specifications, promotional wording, organizational content, and other advertising-related information.

14.3. The availability, accuracy, reliability, and performance of such technologies are not guaranteed.

14.4. Customers remain responsible for reviewing information concerning their Listed Items and notifying the Company of inaccurate or incomplete advertising content.

14.5. The Company may modify, replace, discontinue, or supplement the technologies used in delivering its Services.

15. CUSTOMER RESPONSIBILITIES AND CONDUCT

15.1. Customers agree to provide truthful, complete, and accurate information in connection with their Listed Items.

15.2. Customers agree to review advertising drafts and communicate necessary corrections within twenty-four (24) hours.

15.3. Customers shall not knowingly submit defamatory, libelous, fraudulent, misleading, unlawful, or unauthorized copyrighted material for publication.

15.4. Customers agree to notify the Company within twenty-four (24) hours if their Listed Item is sold or otherwise becomes unavailable.

15.5. Customers remain responsible for providing the Listed Item in the condition and configuration represented in their advertisement.

15.6. Customers agree to honor applicable commitments concerning the advertised asking price and any mutually accepted transaction terms, subject to applicable law.

15.7. Customers shall not submit photographs, videos, trademarks, descriptions, or other intellectual property belonging to third parties without appropriate authorization.

15.8. Customers retain ownership of their Listed Items throughout the advertising period unless and until ownership is lawfully transferred through a separate transaction.

15.9. Customers are responsible for complying with applicable laws concerning ownership, disclosure, title transfer, taxation, registration, transportation, and sale of their property.

16. INTELLECTUAL PROPERTY AND ADVERTISING CONTENT

16.1. Customers represent that they possess the necessary rights or permissions to provide materials submitted for advertising purposes.

16.2. By submitting photographs, descriptions, videos, and other materials, customers grant the Company permission to reproduce, format, adapt, distribute, and publish those materials as reasonably necessary to provide the purchased Services.

16.3. Such permission includes publication through the Company's websites and approved third-party advertising channels.

16.4. The customer acknowledges that advertising materials may remain temporarily accessible through search engines, archived webpages, cached results, or independently maintained third-party systems following removal from the Company's active advertising network.

16.5. The Company cannot guarantee immediate removal of all previously distributed advertising content from systems outside its control.

17. DISCLAIMER OF WARRANTIES AND SERVICE LIMITATIONS

17.1. The Website and Services are provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and limitations, to the maximum extent permitted by applicable law.

17.2. The Company disclaims all warranties, whether express, implied, statutory, or otherwise, except those that cannot lawfully be excluded.

17.3. Such disclaimers include implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing, course of performance, usage, or trade practice.

17.4. The Company does not warrant that the Website or Services will satisfy every customer requirement, achieve any particular result, operate without interruption, remain continuously available, or be entirely free of technical errors.

17.5. The Company does not guarantee the reliability, accuracy, availability, or uninterrupted operation of independently maintained advertising platforms.

17.6. The Company cannot promise when or whether a particular Listed Item will sell and cannot control the independent conduct of prospective purchasers or private sellers.

17.7. Customers acknowledge that advertising services do not eliminate the ordinary commercial uncertainties associated with privately negotiated transactions.

18. LIMITATION OF LIABILITY

18.1. To the maximum extent permitted by applicable law, the Company, its affiliates, directors, employees, representatives, licensors, vendors, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of the Website or Services.

18.2. Such excluded damages may include loss of profits, lost business opportunities, loss of anticipated sale proceeds, loss of data, interruption of use, or other consequential economic losses.

18.3. These limitations apply to claims arising from advertising content, use or inability to use the Website, third-party platform operations, communications with prospective purchasers, and other interactions associated with the Services.

18.4. The limitations shall apply regardless of whether a claim is asserted under contract, tort, negligence, warranty, or another legal theory, to the extent permitted by applicable law.

18.5. The limitations apply even where the Company has been advised of the possibility of such damages, subject to any non-waivable legal protections.

18.6. Certain jurisdictions prohibit or restrict particular exclusions of liability. In such circumstances, the applicable limitation shall operate only to the extent permitted by law.

19. INDEMNIFICATION AND DEFENSE

19.1. To the extent permitted by applicable law, customers agree to defend, indemnify, and hold harmless the Company and its affiliates, vendors, employees, agents, and representatives from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from the customer's wrongful conduct or breach of this Agreement.

19.2. Such matters may include inaccurate or misleading information supplied by the customer, misrepresentation of a Listed Item, unauthorized use of third-party intellectual property, or breach of these Terms.

19.3. Indemnification may also apply to claims arising from the customer's independently negotiated transactions, communications, or disputes with prospective purchasers, to the extent attributable to the customer's conduct.

19.4. This provision shall not require indemnification for liabilities that applicable law prohibits transferring to the customer.

20. TERMINATION, SUSPENSION, AND REMOVAL OF ADVERTISEMENTS

20.1. Either party may terminate the business relationship at any time, including following the sale of a Listed Item or a breach of these Terms.

20.2. The Company reserves the right to limit, suspend, modify, or remove advertising when reasonably necessary to address contractual noncompliance, inaccurate information, unlawful content, platform restrictions, or other material service concerns.

20.3. The Company may take such action without advance notice where permitted by applicable law and reasonably warranted by the circumstances.

20.4. Termination or suspension does not retroactively reverse Services already performed or expenditures already incurred.

20.5. Refund eligibility following termination remains subject to the Payment Terms and Refund Policy and applicable law.

20.6. Provisions intended by their nature to survive termination, including payment obligations, disclaimers, limitations of liability, indemnification, and dispute-related provisions, shall remain effective to the extent enforceable.

21. MODIFICATIONS TO TERMS AND SERVICES

21.1. The Company reserves the right to amend these Terms and Conditions from time to time.

21.2. Updated Terms may be published on the Website and shall become effective in accordance with the notice and acceptance requirements imposed by applicable law.

21.3. Customers are encouraged to review the Website periodically for amendments.

21.4. Where appropriate, the Company may provide notice of material revisions through Website announcements, email communications, or other reasonable notification methods.

21.5. Continued use of the Website or Services following the effective date of properly communicated amendments may constitute acceptance where legally permissible.

21.6. Changes shall not retroactively eliminate accrued customer rights or materially alter existing contractual obligations where additional notice or consent is required by law.

22. SEVERABILITY AND ENFORCEABILITY

22.1. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in effect to the extent legally permissible.

22.2. Any invalid provision shall be interpreted or limited only to the extent necessary to comply with applicable law, without unnecessarily affecting the remaining Agreement.

22.3. The failure of the Company to enforce a provision on one occasion shall not constitute a permanent waiver of its right to enforce that provision in the future.

23. ENTIRE AGREEMENT AND ADDITIONAL SERVICE TERMS

23.1. These Terms and Conditions, together with applicable purchase confirmations, written service arrangements, and expressly incorporated policies, constitute the contractual framework governing the Services.

23.2. Any separately agreed service-specific terms shall apply to the extent they supplement or expressly modify these Terms.

23.3. No oral statement, general marketing representation, or informal communication shall independently create a guarantee of sale or override an express written contractual provision.

23.4. Any modification of a specific customer's service arrangement must be authorized by the Company.

24. ACKNOWLEDGMENT AND CONTINUED USE

24.1. By purchasing Services, submitting advertising materials, authorizing publication, or continuing to use the Website, customers acknowledge the nature and limitations of the Company's advertising services.

24.2. Customers further acknowledge that the Company provides marketing and promotional services rather than a guaranteed completed transaction.

24.3. Customers acknowledge their responsibility to provide accurate information, review advertisements, communicate changes, and independently manage the sale of their Listed Items.

24.4. Customers acknowledge the Company's payment requirements, non-refundable service policy following Marketing Commencement, third-party advertising limitations, and absence of any guarantee concerning buyer activity or sale completion.

24.5. If you do not agree to be bound by these Terms and Conditions in their entirety, you must not access or use the Website or purchase Services.
